Terms of use

1. Agreement

These terms govern use of Relay – Communications ("Relay"), provided by LogsNX LLC, a US limited liability company ("LogsNX", "we", "us"). By connecting a RingCentral account to Relay or using Relay, the business you represent ("customer", "you") agrees to these terms. If you have a signed agreement or order form with us, it takes precedence where it differs.

2. The service

Relay connects your RingCentral account to your LogsNX workspace. It logs calls, stores recordings, voicemails and transcripts, captures text messages, matches them to your contacts, and, where your plan includes it, lets your team call and text customers. Features vary by plan.

3. Your RingCentral account

• You need your own active RingCentral account. Your use of RingCentral is governed by RingCentral's terms.
• Your administrator authorizes Relay's access and can revoke it at any time.
• Some features, such as call recording or RingCentral's AI summaries, depend on what your RingCentral plan includes.

4. Your responsibilities

• Recording consent. You are responsible for complying with call-recording laws, including states that require every party's consent, and for any announcements your calls need.
• Texting consent. You must have the consent required by law, including the Telephone Consumer Protection Act, before texting anyone, keep your numbers registered with carriers, and honor STOP and opt-out requests.
• You are responsible for your users, for keeping their logins secure, and for the accuracy of the information you add.

5. Acceptable use

You must not use Relay to send spam or unsolicited marketing, to harass anyone, to break the law or carrier rules, to interfere with the service or other customers, or to try to access data that is not yours. We may suspend use that puts the service, carriers or other people at risk.

6. Your data

• You own your data, including your calls, recordings, messages and contacts.
• You give us permission to process it only to provide, secure and support Relay for you, as described in our privacy policy.
• You can export your data at any time. When your account ends, we provide an export on request within 14 days and delete your workspace 30 days after the account ends.

7. Fees

Fees are set out in your order form or subscription. Relay may be included with another LogsNX product you subscribe to. Charges from RingCentral and from mobile carriers are separate and remain yours.

8. Availability and support

We work to keep Relay available and to fix problems promptly. Support hours and any service levels are those in your agreement. We may carry out maintenance and will try to schedule it outside US business hours.

9. Third-party services

Relay depends on services we do not control, including RingCentral and mobile carriers. We are not responsible for their outages, changes or decisions, such as a carrier filtering messages.

10. Our intellectual property

LogsNX keeps all rights in Relay, its software and its brand. These terms give you the right to use Relay during your subscription and nothing more. Feedback you give us may be used to improve Relay.

11. Disclaimers

Except as stated in these terms or your agreement, Relay is provided "as is". We do not promise that it will be uninterrupted or error-free, or that every call or message will be captured, for example if RingCentral is unavailable or access has been revoked.

12. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental or consequential damages, or lost profits. LogsNX's total liability under these terms is limited to the fees you paid for Relay in the 12 months before the claim.

13. Indemnity

You will defend and indemnify LogsNX against claims arising from your recordings, your messages or your breach of the responsibilities in section 4.

14. Suspension and termination

You can stop using Relay at any time by disconnecting RingCentral and ending your subscription. We may suspend or end access for a serious breach of these terms or if required by law, with notice where we can give it. Sections 6, 10, 11, 12 and 13 continue after termination.

15. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The state and federal courts located in Travis County, Texas have jurisdiction over any dispute.

16. Changes to these terms

We may update these terms. If a change is material, we will tell you at least 30 days before it takes effect. Continuing to use Relay after that means you accept the change.
